      The creation of the legal form Sociedad de Responsabilidad Limitada in Spain prior to the approval of laws governing it in 1953 is examined. Entrepreneurs had freedom in organizing their firms due to the lack of the numerus clausus principle for enterprise forms in Spain's 1885 Commercial Code.
